                     TO GRANT AGREEMENT LIFE16 ENV/FR/000384

The European Climate, Infrastructure and Environment Executive Agency (hereinafter
referred to as “the Agency”), acting under powers delegated by the European Commission
(hereinafter referred to as “the Commission”), and represented for the purposes of signature
of this amendment by Anne BURRILL, Head of Unit, or her duly authorised representative,

of the one part,

and

("the coordinating beneficiary"), represented for the purposes of signature of this grant
amendment by

Arnaud STOTZENBACH
Financial Director

of the other part,

WHEREAS

(1) The grant agreement No LIFE16 ENV/FR/000384, hereinafter referred to as “the grant
agreement”, entered into force on 9 June 2017,

(2) The coordinating beneficiary CITY OF PARIS (PARIS) has altered his legal
representative,

(3) The associated beneficiary EUROVIA ILE DE FRANCE (EUROVIA IDF) has been
added to the Grant Agreement,

(4) Article I.2 of the grant agreement has been revised,

(5) Annex III to the grant agreement (estimated budget of the project) has been revised,

(6) The coordinating beneficiary has the mandate(s) of all associated beneficiaries
participating in the grant agreement for the purpose of the signature of this amendment.

Have agreed as follows:

                                           Article 1

The grant agreement LIFE16 ENV/FR/000384 (hereinafter referred to as "the grant
agreement") is modified as follows:

(1) Forms A1, A3, C2 and C3 as set out in Annex II of the grant agreement are amended as
set out in the new Forms A1, A3, C2 and C3 as attached.

(2) Form A5 of EUROVIA ILE DE FRANCE (EUROVIA IDF) is added to Annex II.

(3) The legal representative of the coordinating beneficiary PARIS as set out in the grant
agreement changes and becomes Arnaud STOTZENBACH. Any reference to Mr Guillaume
ROBERT in the grant agreement shall be understood, where appropriate, as a reference to
Arnaud STOTZENBACH.

(4) EUROVIA IDF joins the project as of 01/07/2017 as associated beneficiary becoming
responsible for the implementation of the actions indicated in form A4 attached.

(5) The duration of the project in Art. I.2.2 of the grant agreement is modified and shall run
from 01/07/2017 to 30/06/2023.

(6) Annex III to the grant agreement (estimated budget of the project) is cancelled and
replaced by Annex III-Bis attached to this amendment.

(7) The mandate of EUROVIA ILE DE FRANCE (EUROVIA IDF) is added to Annex IV to
the grant agreement (Mandates provided to the coordinating beneficiary).

                                           Article 2

With the exception of the modifications introduced by the present amendment, all other
provisions of the grant agreement as amended in letter amendment No 1 remain in full force.
This amendment No 2 forms an integral part of the grant agreement.

                                           Article 3

This amendment will enter into force on the day of the last signature of the parties to the grant
agreement.
